Website general terms and conditions www.gingerlilyperles.fr

Updated on 8 August 2026

ARTICLE 1 - SELLER IDENTITY AND SCOPE OF APPLICATION

1.1 - Seller identity

These General Terms and Conditions of Sale (hereinafter the “GTC”) govern sales made on the website www.gingerlilyperles.fr (hereinafter the “Website”) by:

Gingerlily-Exio SAS
Simplified joint-stock company with capital of €6,000
Registered office: 2 rue du Pont d’Avignon, 91290 Arpajon - France
RCS Évry: 494 907 223
Intra-Community VAT number: FR08494907223
Email: contact@gingerlily.fr

Hereinafter referred to as “Gingerlily” or the “Seller”.

1.2 - Scope of application

These GTC apply to any order for products placed on the Website with Gingerlily.

They define the rights and obligations of the Seller and its customers in connection with the online sale of the products offered on the Website.

“Customer” means any natural or legal person placing an order on the Website.

For the purposes of these GTC, a distinction is made between:

  • the Consumer Customer, a natural person acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, liberal or agricultural activity;

  • the Professional Customer, a natural or legal person acting for purposes falling within the scope of their professional activity.

Where certain provisions apply exclusively to Consumer Customers or Professional Customers, this is expressly specified in these GTC.

The mandatory provisions of the Consumer Code remain applicable to Customers who may legally benefit from them.

1.3 - Acceptance of the GTC

The Customer acknowledges having read these GTC before validating the order.

Validation of the order implies acceptance of the GTC applicable on the date thereof.

The GTC may be consulted at any time on the Website. Gingerlily reserves the right to amend them; the conditions applicable to an order remain those accepted by the Customer when validating it.

ARTICLE 2 - PRODUCTS, CHARACTERISTICS AND AVAILABILITY

2.1 - Product characteristics

On each product information sheet, Gingerlily presents the essential characteristics enabling the Customer to know, before placing an order, the nature and main characteristics of the product offered.

Depending on the products, this information may include, in particular, dimensions, material, colour, finish, packaging, quantity or any other useful characteristic.

The Customer is invited to carefully consult the product information sheet before placing an order.

2.2 - Photographs and representations of the products

Gingerlily takes particular care in producing and presenting photographs of its products in order to reproduce their appearance, colours and proportions as faithfully as possible.

Slight differences in appearance may nevertheless occur, particularly due to the settings and characteristics of the screen used.

Photographs may also feature staging elements, finished jewellery or other supplies intended to illustrate a possible use. Unless otherwise indicated on the product page, only the products expressly described and indicated as sold are included in the order.

2.3 – Variations inherent in certain products

Certain supplies may exhibit slight variations from one piece to another.

This is particularly the case for natural stones and pearls, shells, wood and other natural materials, for which the colour, shades, patterns, shape, transparency, texture or dimensions may vary slightly.

Minor variations may also exist between different production batches of the same product.

Such characteristics, where inherent in the nature of the product and compatible with its description, do not in themselves constitute a defect.

This provision in no way deprives the Customer of the applicable statutory warranties.

2.4 – Dimensions and quantities

Where dimensions are indicated on a product page, slight variations may be observed where these result from the manufacturing process or the nature of the material.

For products sold in lots, bags, reels, by weight, by length or according to any other packaging unit, the sales unit and corresponding quantity are specified on the product page.

The Customer is advised to check the sales unit before validating the order.

2.5 – Product availability

Products are offered subject to availability.

Availability is indicated on the product page at the time of ordering.

Despite stock updates, an exceptional unavailability may be identified after an order has been validated, particularly in the event of a stock discrepancy or simultaneous orders.

In this situation, Gingerlily will inform the Customer as soon as possible and, depending on the circumstances, offer a refund for the unavailable product or any other solution accepted by the Customer.

When an out-of-stock product is likely to be restocked, the Customer may, where this functionality is available, request to be notified by email when it is back in stock.

Certain products may be permanently discontinued and will therefore not be restocked.

ARTICLE 3 – PRICES, VAT AND PROMOTIONAL OFFERS

3.1 – Product prices

The applicable prices are those displayed on the Site at the time the order is validated.

Unless otherwise indicated, the prices displayed to Customers in France are expressed in euros, including all taxes (VAT included), excluding any applicable delivery costs.

Applicable delivery charges are indicated to the Customer before their order is finally validated.

Gingerlily reserves the right to change its prices at any time. Any price change shall have no effect on an order that has already been validated.

3.2 - VAT

Applicable VAT is calculated in accordance with the regulations in force and based in particular on the delivery country and, where applicable, the Customer's status.

For Business Customers subject to VAT, VAT appears separately on the invoice where applicable.

Business Customers established in another Member State of the European Union may benefit, where the legal conditions are met, from the tax regime corresponding to their situation, in particular following validation of their intra-Community VAT number.

For orders legally benefiting from a VAT exemption, the applicable price and tax treatment are indicated at the time of the order.

3.3 - Decreasing prices

Certain products may benefit from decreasing prices depending on the quantity ordered.

Where such prices are offered, the various quantity thresholds and corresponding prices are indicated on the product page.

The applicable price is determined automatically based on the quantity ordered and the conditions displayed at the time of the order.

3.4 - Promotional offers and discount codes

Gingerlily may occasionally offer promotional offers, discounts, or promotional codes.

These offers may be subject to specific conditions, including a validity period, a minimum order amount, a product selection, a category of Customers, or combination conditions.

The terms specific to each offer are those communicated when it is released.

Where a promotional code is required, it must be entered in the designated field before the order is validated and paid for.

Unless otherwise indicated, offers and promotional codes cannot be combined.

A promotional code not entered or forgotten when validating the order cannot be applied retroactively or give rise to a refund of the difference after payment.

3.5 - Manifest pricing error

In the event of a manifest error in the display of a product's price, resulting in particular from a clerical or technical error, Gingerlily shall inform the Customer as soon as possible.

Where the error is detected before dispatch, the Customer may confirm their order at the correct price or request its cancellation and a refund of any amounts already paid.

This provision does not allow Gingerlily to modify the price of a validated order except in the event of a manifest error.

ARTICLE 4 - ORDER AND CONTRACT FORMATION

4.1 - Placing an order

The Customer selects the products they wish to order and adds them to their basket.

Before validating the order, the Customer may view the contents of their basket, verify the selected products, their quantities and their price, and make any necessary changes.

The Customer then provides the information necessary to process the order, in particular their billing and delivery details.

Creating a customer account is not mandatory to place an order on the Website.

4.2 - Order verification

Before final validation, the Customer is provided with a summary enabling them to verify, in particular:

  • the products and quantities ordered;

  • the price of the products and any discounts applied;

  • delivery charges;

  • the delivery address and the information provided;

  • the total amount payable.

The Customer is responsible for verifying the accuracy of this information and correcting any errors before validating the order.

4.3 - Validation and obligation to pay

Final validation of the order is carried out using the button provided for this purpose on the payment interface and entails an obligation to pay.

Before validation, the Customer is invited to read and accept these General Terms and Conditions of Sale.

Validation of the order entails acceptance of the products ordered, their price, any associated charges and these General Terms and Conditions of Sale.

4.4 - Order confirmation

Once the order has been validated, a confirmation is sent to the Customer electronically at the email address provided when the order was placed.

This confirmation sets out the essential information relating to the order.

The Customer is invited to verify the email address provided and, where applicable, to check their spam folder.

The invoice corresponding to the order is made available in accordance with the procedures indicated on the Website, in particular through the customer account where the Customer has one.

4.5 - Refusal or cancellation of an order by Gingerlily

Gingerlily reserves the right to refuse or cancel an order on legitimate grounds, in particular in the event of:

  • inability to process the payment;

  • reasonable suspicion of fraud;

  • manifestly erroneous or insufficient information preventing fulfilment of the order;

  • unavailability of the product under the conditions set out in Article 2;

  • a manifest pricing error under the conditions set out in Article 3;

  • or any prior dispute relating to payment for an order.

Where payment has already been collected and the order cannot be fulfilled, the amounts corresponding to the cancelled products shall be refunded using the payment method used, unless the Customer agrees to another solution.

ARTICLE 5 - MODIFICATION OR CANCELLATION OF AN ORDER

5.1 - Request to modify an order after validation

Once the order has been validated, its preparation may begin promptly.

Customers who notice an error or wish to modify their order are invited to contact Gingerlily as soon as possible, stating their order number.

Gingerlily will do its best to take the request into account as long as the order's progress permits.

However, a change cannot be guaranteed once order preparation has begun or the order has already been dispatched.

5.2 – Change of delivery address

The Customer is responsible for the accuracy of the delivery address provided when placing their order.

In the event of an error, they must contact Gingerlily as soon as possible.

The address may be changed only if the order's preparation or dispatch status permits it.

Once the order has been handed over to the carrier, Gingerlily cannot guarantee that a change to the delivery address or location will still be possible.

5.3 – Request for cancellation before dispatch

The Customer may request cancellation of their order before it is dispatched.

Where order preparation has not progressed sufficiently to prevent its cancellation, Gingerlily may interrupt its processing and refund the corresponding amounts.

Due to the speed of order preparation, Gingerlily cannot, however, guarantee that a cancellation request received after validation can be taken into account before dispatch.

If the order can no longer be cancelled, the consumer Customer retains, where applicable, their legal right of withdrawal under the conditions provided for in these General Terms and Conditions of Sale.

5.4 – Products cut to order or personalised

Certain products may be cut, prepared or personalised according to the Customer's specifications, including chains, cords, threads, ribbons or other items sold by length and cut according to the quantity ordered.

Once the product has been cut, prepared or personalised, the order for that product may no longer be modified or cancelled.

These products, made according to the Customer's specifications, may also be excluded from the legal right of withdrawal under the conditions provided for in Article L.221-28 of the French Consumer Code and specified in Article 11 of these General Terms and Conditions of Sale.

ARTICLE 6 – PAYMENT

6.1 – Payment methods

The Customer may pay for their order using the payment methods offered on the Site at the time of ordering.

Subject to availability and the applicable terms, Gingerlily accepts in particular:

  • bank cards, including Visa and Mastercard;

  • PayPal;

  • Apple Pay;

  • Shop Pay;

  • Klarna, in particular for the instalment payment solutions offered to eligible Customers;

  • the cryptocurrency payment methods offered on the Site;

  • the bank transfer;

  • the cheque.

The availability of certain payment methods may vary, particularly depending on the country, the order amount or the conditions set by the payment service provider concerned.

Any specific conditions applicable to a payment service, particularly payment in instalments or in cryptocurrency, are communicated to the Customer by the provider concerned before payment is validated.

6.2 – Payment by card or electronic payment service

For payments made by bank card or through an electronic payment service, the payment debit and authorisation are carried out in accordance with the terms of the payment service provider used.

Gingerlily does not have access to the confidential banking data entered by the Customer with the payment service provider.

The order is considered payable by this method only after the transaction has been validated by the provider concerned.

In the event of payment refusal or failure, the order cannot be fulfilled until valid payment has been obtained.

6.3 – Payment by bank transfer

Where payment by bank transfer is offered, the details required to make the transfer are provided to the Customer during the order process.

The Customer must indicate the order reference to enable identification of the payment.

The order is processed after the payment has actually been received.

Any bank charges related to the transfer, particularly for transfers made from an account located outside the euro area, shall remain the Customer’s responsibility.

Payment must be made in euros.

6.4 – Payment by cheque

Where payment by cheque is offered, the instructions required for sending it are provided to the Customer during the order process.

The order is processed after receipt and collection of the payment.

The Customer is invited to include the order number with the payment to enable identification.

The order preparation period begins to run from payment validation.

6.5 – Payment in instalments

Where this option is offered, the Customer may benefit from payment in several instalments through the provider indicated during the order process, in particular Klarna.

Eligibility for payment in instalments, its schedule and any applicable conditions are determined by the provider concerned and presented to the Customer before the Customer commits.

Gingerlily is not involved in the decision to accept or refuse financing or payment in instalments made by the provider.

6.6 – Payment security and checks

Gingerlily and its payment service providers may implement measures designed to prevent fraud and secure transactions.

An order may be suspended or cancelled in the event of payment refusal, non-payment, fraudulent use or reasonable suspicion of fraud.

In certain situations justified by fraud prevention, additional information may be requested from the Customer in order to verify the legitimacy of the transaction.

6.7 - Retention of Title

The products remain the property of Gingerlily until the order price has been paid in full.

The provisions relating to the transfer of risks associated with delivery are independent of this clause and are specified in the article devoted to delivery.

6.8 - Credit Notes and Customer Credits

When Gingerlily grants a credit note or customer credit, it is associated with the Customer's account and may be used to pay for all or part of an order, subject to the conditions indicated when it is granted.

If the available amount is less than the amount of the new order, the remaining balance may be paid using another payment method accepted on the Website.

Any validity conditions that may apply to a credit note or credit are communicated to the Customer when it is granted.

ARTICLE 7 - PREPARATION AND SHIPMENT OF ORDERS

7.1 - Commencement of Preparation

Order preparation begins after the order has been validated and payment confirmed.

For payment methods for which receipt is not immediate, in particular bank transfer or cheque, preparation begins after the payment has been received and effectively validated.

Gingerlily endeavors to prepare and ship orders as soon as possible.

Any preparation times indicated on the Website are provided taking into account the usual order-processing conditions.

7.2 - Orders Requiring Special Processing

Certain orders may require additional preparation time, in particular due to:

  • their volume or the large number of items ordered;

  • the cutting, packaging, or special preparation of certain products;

  • a verification necessary for processing the order;

  • or an exceptional period of high activity.

When a significant preparation delay is identified, Gingerlily will endeavor to inform the Customer as soon as possible.

7.3 - Order Inspection and Traceability

Gingerlily takes particular care in preparing and checking orders before shipment.

In order to ensure traceability and facilitate the processing of any claim, orders may in particular be subject to inspection and photography before being sealed and handed over to the carrier.

These elements may be used by Gingerlily to verify the contents and preparation conditions of an order in the event of a claim.

7.4 - Shipment of the Order

An order is deemed to have been shipped when it has been handed over to the carrier responsible for its delivery.

The Client receives an electronic shipping confirmation when the corresponding information is available.

Where the selected shipping method allows tracking, the information necessary to track the parcel is provided to the Client or made available to them.

The Client is invited to check the email address and telephone number provided when placing their order in order to receive information relating to its shipment and delivery.

7.5 - Shipment in several parcels

Where necessary due to the volume of the order, the nature of the products or logistical constraints, an order may exceptionally be shipped in several parcels.

The Client is informed when this situation results in several separate shipments.

Unless otherwise indicated to the Client, this shipping arrangement does not result in any additional delivery costs being charged to them.

ARTICLE 8 - DELIVERY, PERIODS AND TRANSFER OF RISKS

8.1 - Delivery methods and costs

The products are delivered using the delivery methods offered to the Client when placing their order.

The available delivery methods, their prices and any conditions for free delivery are indicated on the Site and in the order summary before validation.

The delivery methods offered may vary, in particular depending on the destination, weight, dimensions or value of the order.

8.2 - Delivery address and location

The order is delivered to the address or collection point selected by the Client when placing their order.

The Client must carefully check the delivery information entered before validating their order.

In the event of an error identified after validation, the Client is invited to contact Gingerlily as soon as possible. However, a change cannot be guaranteed when the order has already been prepared or handed over to the carrier.

8.3 - Delivery periods

The applicable delivery date or period is indicated to the Client before their order is validated.

Delivery periods may vary depending on the delivery method and destination selected.

Where the delivery period provided by the carrier constitutes an estimate, this information is presented as such.

In accordance with the regulations applicable to consumer Clients, Gingerlily delivers the order on the date or within the period announced. If no date or period is indicated, delivery shall take place without undue delay and no later than thirty days after the contract is concluded.

8.4 - Late delivery

In the event of late delivery, the Client is invited to consult the tracking information for their parcel and may contact Gingerlily so that an inquiry can be made with the carrier.

The consumer Client’s rights in the event of late delivery are exercised in accordance with the provisions of the French Consumer Code.

Where the statutory conditions are met, the consumer Customer may in particular request that the Seller make delivery within a reasonable additional period and, if delivery does not take place within that period, terminate the contract under the conditions provided by law.

Where the delivery date or period constitutes an essential condition of the contract and this condition is apparent from the circumstances surrounding its conclusion or from an express request by the Customer accepted by Gingerlily, the statutory provisions allowing immediate termination remain applicable.

8.5 - Transfer of risks - Consumer Customers

Where the Customer is a consumer and delivery is carried out by a carrier offered by Gingerlily, the risk of loss of or damage to the products remains with Gingerlily until the moment when the Customer, or a third party designated by the Customer other than the carrier, physically takes possession of the products.

The Customer is invited to report promptly to Gingerlily any parcel that has not been received, is damaged or presents an anomaly, in order to enable their claim to be processed.

The absence of reservations made upon receipt does not deprive the consumer Customer of the benefit of their statutory rights and guarantees.

Where the consumer Customer personally chooses to entrust delivery to a carrier other than those offered by Gingerlily, the risk transfers when the goods are handed over to that carrier, in accordance with the applicable legal provisions.

8.6 - Delivery to a collection point

Where the Customer chooses delivery to a collection point, post office, locker or any other collection point, they are responsible for collecting their parcel within the period indicated by the carrier.

The arrangements for making the parcel available and the period for which it will be held are communicated by the carrier according to the service selected.

The Customer is invited to ensure that their email address and telephone number are accurate in order to receive notifications concerning the availability of their parcel for collection.

The consequences of a parcel not collected and returned to Gingerlily are specified in the following article.

ARTICLE 9 - DELIVERY INCIDENTS AND RETURNED PARCELS

9.1 - Parcel delayed or tracking status unchanged

Where a parcel is subject to an unusual delay or its tracking status remains unchanged, the Customer is invited to contact Gingerlily so that a check can be carried out.

Where necessary, Gingerlily may open a search request or submit a claim to the carrier.

Any investigation periods that may be necessary depend on the carrier and the delivery method concerned.

9.2 - Parcel lost or not received

If a consumer Customer has not received their order, Gingerlily shall carry out the necessary checks with the carrier.

When the loss of the parcel is established or the order cannot be delivered, Gingerlily applies the remedies provided for by the applicable regulations, including a new shipment or, where the legal conditions are met, a refund of the order.

When the carrier was offered by Gingerlily, the steps taken with that carrier are handled by Gingerlily and do not deprive the consumer Customer of their rights against the Seller.

9.3 – Parcel marked as delivered but not received

When a parcel is marked as delivered by the carrier but the Customer states that they have not received it, the Customer must inform Gingerlily as soon as possible in order to allow an investigation to be opened.

Gingerlily may request from the Customer the information reasonably necessary to process the claim and take the appropriate steps with the carrier.

The sole indication “delivered” in the carrier’s tracking information does not deprive the consumer Customer of the rights to which they are entitled under the applicable regulations.

9.4 – Parcel damaged or deteriorated during transport

The Customer is invited to check the condition of the parcel and its contents upon receipt.

In the event of a damaged parcel or damaged products, it is recommended that Gingerlily be informed as soon as possible and that photographs showing the condition of the parcel, its packaging and the products concerned be attached.

Where circumstances permit, the Customer may also make reservations with the carrier.

The absence of reservations upon delivery does not deprive the consumer Customer of the benefit of their legal rights and guarantees.

9.5 – Error or insufficiency in the delivery address

The Customer is responsible for the accuracy and completeness of the delivery information provided when placing the order.

When a parcel cannot be delivered due to an incorrect or incomplete address or information provided by the Customer that does not allow delivery, Gingerlily contacts the Customer after the parcel has actually been returned in order to determine the arrangements for any reshipment.

The costs of a new shipment made necessary by an error attributable to the Customer may be charged to the Customer.

9.6 – Parcel not collected at a collection point

When the Customer chooses delivery to a relay point, post office, locker or other collection point, the Customer is responsible for collecting the parcel during the period for which it is made available.

Upon expiry of this period, the carrier may automatically return the parcel to Gingerlily.

The return of an uncollected parcel does not, in itself, constitute the exercise of the right of withdrawal. A consumer Customer wishing to exercise this right must inform Gingerlily under the conditions set out in the article dedicated to the right of withdrawal.

After receiving and inspecting the returned parcel, Gingerlily contacts the Customer to determine how to proceed with the order.

In the event of a request for reshipment, the new delivery costs shall be borne by the Customer.

If the Customer does not wish their order to be reshipped and a refund is issued, Gingerlily may deduct the costs reasonably incurred for the return and processing of the uncollected order. The applicable amount is that communicated to the Customer.

This deduction corresponds to the costs incurred for the return and processing of an order that was not collected by the Customer and does not constitute exercise of the right of withdrawal.

9.7 - Parcel refused by the Customer

Refusal of a parcel upon presentation does not necessarily, in itself, constitute an unambiguous declaration of withdrawal.

Customers wishing to exercise their right of withdrawal are invited to use the procedure provided for this purpose.

When the refused parcel is returned to Gingerlily, it is processed after receipt and inspection.

ARTICLE 10 - RIGHT OF WITHDRAWAL

10.1 - Withdrawal period

In accordance with the provisions of the French Consumer Code, a consumer Customer has a period of fourteen (14) days from receipt of their order to exercise their right of withdrawal, without having to provide reasons for their decision.

The right of withdrawal shall be exercised under the conditions provided for by the regulations in force.

The exceptions to the right of withdrawal, particularly for certain products cut to order or personalised, are specified in Article 11 of these General Terms and Conditions of Sale.

10.2 - Exercise of the right of withdrawal

To exercise their right of withdrawal, the Customer must inform Gingerlily of their decision before the expiry of the fourteen-day period.

Gingerlily provides a functionality enabling this procedure to be carried out directly online:

Withdrawal request form:
https://www.gingerlilyperles.fr/apps/retractly/withdraw

The Customer may also exercise their right using the model withdrawal form appearing at the end of these General Terms and Conditions of Sale or by any other unambiguous statement expressing their decision to withdraw.

Where withdrawal is effected using the online functionality provided for this purpose, an acknowledgement of receipt is sent to the Customer in accordance with the applicable legal provisions.

10.3 - Validation of the request and return instructions

Upon receipt of the request, Gingerlily provides the Customer with the information necessary to process their return.

The Customer is invited to await validation of their request and Gingerlily's instructions before shipping the products.

This step is intended, in particular, to correctly identify the order and the products concerned and to facilitate the processing of the return.

However, it may not have the effect of restricting or making conditional the exercise of the statutory right of withdrawal where that right has been validly exercised within the period prescribed by law.

10.4 - Product return period

From the time the Customer communicates their decision to withdraw, the Customer has a maximum period of fourteen (14) days to return the products concerned.

The deadline is met when the Customer dispatches the products before the expiry of this fourteen-day period.

The practical return arrangements, the return address and the conditions relating to the condition of the products are specified in Article 12 of these GTCs.

10.5 – Return costs

The direct costs of returning the products when exercising the right of withdrawal shall be borne by the Customer, unless Gingerlily expressly agrees to bear them or applicable regulations provide otherwise.

The Customer is invited to choose a shipping method that allows their return to be tracked and to retain proof of dispatch until it has been finally processed.

Returns must be sent directly to the return address indicated by Gingerlily and must not be shipped to a parcel collection point.

10.6 – Withdrawal relating to part of the order

The Customer may exercise their right of withdrawal in respect of all or part of the eligible products comprising their order.

The financial consequences of a total or partial withdrawal, particularly concerning the reimbursement of any initial delivery costs, are specified in Article 13 of these GTCs.

ARTICLE 11 – EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for products falling within the exceptions provided for by law.

11.1 – Products cut to order

In particular, products cut to the length requested by the Customer cannot be returned under the right of withdrawal where the cutting is carried out specifically for the Customer’s order.

These include, in particular, chains, cords, threads, ribbons and, more generally, supplies sold by length and prepared according to the length or quantity ordered by the Customer.

The non-returnable nature of these products is also indicated on the relevant product pages.

11.2 – Personalized or made-to-order products

The right of withdrawal does not apply to products made to the Customer’s specifications or clearly personalized, in accordance with the applicable legal provisions.

When this exclusion applies to a product offered by Gingerlily, this information is brought to the Customer’s attention before the order is placed.

11.3 – Products unsealed for reasons of hygiene

When Gingerlily markets a product that, for reasons of hygiene or health protection, cannot be returned after being unsealed, the right of withdrawal may no longer be exercised after it has been unsealed, in accordance with the applicable legal provisions.

This exclusion applies only where justified by the nature of the product and where the Customer was informed of it before purchasing.

ARTICLE 12 - RETURN PROCEDURE

12.1 - Organisation of the return

After exercising their right of withdrawal under the conditions provided for in Article 10, the Customer is invited to wait for Gingerlily's confirmation and return instructions before dispatching the products.

This procedure enables the return to be identified, the products concerned to be checked and its processing upon receipt to be facilitated.

The Customer has the statutory period provided for in Article 10 to dispatch their return.

12.2 - Return address

The products must be returned directly to the following address:

Gingerlily-Exio SAS
2 rue du Pont d’Avignon
91290 Arpajon – France

Returns must be made by delivery to this address and not to a parcel shop.

Gingerlily cannot guarantee the retrieval of a parcel addressed to a parcel shop, locker or any other collection point.

12.3 - Document to be enclosed with the return

To enable the return to be identified and processed promptly, the Customer is invited to enclose with the parcel the return document made available by Gingerlily, duly completed.

Failing this, the Customer must enclose at least the information enabling their return to be clearly identified, in particular their name and order number.

The absence of the return document shall not deprive the consumer Customer of their right of withdrawal where that right has been validly exercised within the statutory time limit.

12.4 - Condition of returned products

The products must be returned unused, in their original packaging and in a condition allowing them to be resold, together, where applicable, with their accessories or associated components.

The Customer may handle the product to the extent necessary to establish its nature, characteristics and proper functioning.

Pursuant to the French Consumer Code, the Customer may be held liable in the event of depreciation of the product resulting from handling other than that necessary to establish its nature, characteristics and proper functioning.

In this case, Gingerlily may take such depreciation into account when processing the refund, under the conditions laid down by the applicable regulations.

12.5 - Dispatch and proof of return

The direct costs of returning the products shall be borne by the Customer, unless otherwise provided by law or expressly agreed by Gingerlily.

It is strongly recommended to use a shipping method including a tracking number and to retain proof of posting until the return has been finally processed.

12.6 - Receipt and inspection of the return

Upon receipt of the parcel, Gingerlily checks the returned products and matches them with the corresponding withdrawal request.

The refund shall then be processed under the conditions set out in Article 13.

Where a returned product does not correspond to the registered request, has been used or depreciated beyond the handling necessary to examine it, or falls within a statutory exclusion from the right of withdrawal, Gingerlily shall inform the Client.

ARTICLE 13 – REFUNDS

13.1 – Refund period

In the event of a valid exercise of the right of withdrawal, Gingerlily shall refund the amounts due to the Client as soon as possible and no later than fourteen (14) days from the date on which Gingerlily is informed of the Client’s decision to withdraw.

For sales of goods, Gingerlily may defer the refund until it has recovered the products concerned or until the Client provides proof of their dispatch, whichever occurs first.

13.2 – Refund method

The refund shall be made using the same means of payment as that used for the order, unless the Client expressly agrees to the use of another refund method and provided that this does not incur any costs for the Client.

Where the Client accepts, Gingerlily may in particular offer a credit note or customer credit usable on a future order.

The issuance of a credit note in replacement of a refund legally due requires the Client’s consent.

13.3 – Withdrawal relating to the entire order

Where the consumer Client exercises their right of withdrawal in respect of their entire order, Gingerlily shall refund the price of the products concerned as well as the initial delivery costs corresponding to the standard delivery method offered for that order.

Where the Client has expressly chosen a delivery method that is more expensive than the standard delivery method offered by Gingerlily, the additional amount corresponding to that choice shall not be refunded.

The direct costs incurred by the Client to return the products to Gingerlily shall remain payable by the Client, under the conditions set out in Article 10.

13.4 – Withdrawal relating to part of the order

Where the Client exercises their right of withdrawal only in respect of part of the products comprising their order, the price of the products concerned shall be refunded.

The initial delivery costs are not refunded where their amount would have been identical if the Client had ordered only the products retained.

Where a partial withdrawal affects the delivery costs that would have been charged for only the products retained, Gingerlily shall, where applicable, refund the corresponding difference in accordance with the applicable rules.

13.5 – Depreciated products

Where handling of a returned product has resulted in depreciation beyond what was necessary to establish its nature, characteristics and proper functioning, the Customer may incur liability in accordance with the French Consumer Code.

Gingerlily may then take the depreciation actually observed into account when issuing the refund.

The Customer shall be informed of the situation where inspection of the returned product reveals such depreciation.

13.6 – Products excluded from the right of withdrawal

Products legally excluded from the right of withdrawal under the conditions set out in Article 11 shall not give rise to a refund on the basis of a simple change of mind.

This provision is without prejudice to the Customer’s rights where a product is non-conforming, defective or does not correspond to the order.

ARTICLE 14 – MISSING, INCORRECT, DAMAGED OR DEFECTIVE PRODUCT

14.1 – Complaint concerning the contents of the order

Where a product is missing, does not correspond to the reference ordered, has arrived damaged or has a defect, the Customer is invited to contact Gingerlily as soon as possible to enable their complaint to be handled.

The complaint must make it possible to identify the order and the product concerned.

The Customer is in particular invited to provide:

  • their order number;

  • a description of the problem encountered;

  • one or more photographs showing, where relevant, the product received and the reported anomaly.

These details enable Gingerlily to verify the situation and promptly propose an appropriate solution.

14.2 – Order verification

Gingerlily takes particular care to check orders before dispatch.

As orders may be photographed during preparation, Gingerlily may consult these materials to verify the contents of the parcel at the time of dispatch and facilitate the handling of the complaint.

These checks are intended to determine the origin of the error and do not deprive the Customer of their statutory rights and guarantees.

14.3 – Handling of the complaint

Where the error or anomaly is confirmed, Gingerlily shall propose a solution suited to the situation and to the rights available to the Customer.

Depending on the circumstances, this solution may in particular consist of:

  • dispatch of the missing or correct product;

  • replacement of the product concerned;

  • or a refund where replacement is not possible or where applicable regulations so provide.

Where the error is attributable to Gingerlily, the costs necessary to correct it shall not be borne by the Customer.

14.4 – Product received in error

Where a product not ordered has been sent to the Customer as a result of a preparation error and Gingerlily requests its return, the return arrangements shall be organised by Gingerlily and the corresponding costs shall be borne by Gingerlily.

The Customer is advised not to return the product spontaneously at their own expense before receiving the necessary instructions.

14.5 – Distinction between complaints and withdrawal

A complaint concerning a missing, incorrect, damaged, defective or non-conforming product is distinct from the exercise of the right of withdrawal.

The Customer must therefore not use the withdrawal procedure when wishing to report a preparation error or a defect covered by the rights and guarantees attached to their order.

The provisions of this article do not limit the legal guarantees to which the Customer is entitled and which are specified in Article 15.

ARTICLE 15 – LEGAL GUARANTEES

Consumer Customers benefit from the legal guarantees provided for by the applicable regulations, in particular the legal guarantee of conformity and the guarantee against latent defects.

The legal guarantee of conformity does not constitute a commercial guarantee of the products' lifespan. It applies to lacks of conformity under the conditions provided for by the Consumer Code.

Normal wear and tear of a product, deterioration resulting from its use, poor maintenance, inappropriate use or damage occurring after its delivery does not, in itself, constitute a lack of conformity covered by this guarantee.

The nature of the product and the use that may reasonably be expected of it are taken into consideration when assessing its conformity.

For any request concerning a product that may be covered by a legal guarantee, the Customer may contact:

Gingerlily-Exio SAS
2 rue du Pont d’Avignon
91290 Arpajon – France
Email: contact@gingerlily.fr

The regulatory information relating to the legal guarantee of conformity and the guarantee against latent defects is set out below in accordance with the provisions of the Consumer Code.

15.1 – Legal guarantee of conformity

LEGAL GUARANTEE OF CONFORMITY

The consumer has a period of two years from delivery of the goods to obtain enforcement of the legal guarantee of conformity if a lack of conformity appears. During this period, the consumer is required to establish only the existence of the lack of conformity, and not the date on which it appeared.

Where the contract for the sale of the goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the legal guarantee applies to that digital content or digital service throughout the specified supply period. During this period, the consumer is required to establish only the existence of the lack of conformity affecting the digital content or digital service, and not the date on which it appeared.

The statutory guarantee of conformity requires the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

The statutory guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days following the request, at no cost and without major inconvenience.

If the goods are repaired under the statutory guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

If the consumer requests repair of the goods, but the seller imposes replacement, the statutory guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced.

The consumer may obtain a reduction in the purchase price while retaining the goods or terminate the contract and receive a full refund upon returning the goods, if:

1° The professional refuses to repair or replace the goods;

2° The repair or replacement of the goods takes place after a period of thirty days;

3° The repair or replacement of the goods causes a major inconvenience for the consumer, in particular where the consumer permanently bears the costs of taking back or collecting the non-conforming goods, or bears the costs of installing the repaired or replacement goods;

4° The lack of conformity persists despite the seller's unsuccessful attempt to bring the goods into conformity.

The consumer is also entitled to a price reduction or to terminate the contract when the lack of conformity is so serious that it justifies the price reduction or termination of the contract taking immediate effect. The consumer is then not required to request the repair or replacement of the goods beforehand.

The consumer is not entitled to terminate the sale if the lack of conformity is minor.

Any period during which the goods are immobilized for the purpose of repair or replacement suspends the remaining guarantee period until the repaired or replaced goods are delivered.

The rights referred to above result from the application of Articles L. 217-1 to L. 217-32 of the Consumer Code.

A seller who, in bad faith, obstructs the implementation of the statutory guarantee of conformity is liable to a civil fine of up to EUR 300,000, which may be increased to up to 10% of average annual turnover (Article L. 241-5 of the Consumer Code).

The consumer also benefits from the statutory guarantee against latent defects pursuant to Articles 1641 to 1649 of the Civil Code, for a period of two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are retained or to a full refund upon return of the goods.

15.2 - Implementation of statutory warranties

A Customer wishing to report a product that may be defective or non-compliant is invited to contact Gingerlily at the address contact@gingerlily.fr, stating the order number and describing the problem encountered.

Where useful for assessing the claim, Gingerlily may request photographs of the product concerned.

Where the conditions for a statutory warranty are met, it shall be implemented at no cost to the Customer, in accordance with the applicable legal provisions.

The statutory warranties are independent of the right of withdrawal provided for in these General Terms and Conditions of Sale.

ARTICLE 16 - PROVISIONS APPLICABLE TO BUSINESS CUSTOMERS

The provisions of this Article apply specifically to Customers acting for professional purposes.

The other provisions of these General Terms and Conditions of Sale shall apply to them where they are not expressly reserved for Consumer Customers and are not incompatible with their status as professionals.

16.1 - Account and professional terms

Gingerlily may offer Business Customers specific commercial terms, including professional rates or discounts, subject to compliance with the eligibility conditions indicated on the Site.

The Business Customer is responsible for the accuracy of the information provided in order to benefit from these terms and must inform Gingerlily of any change likely to affect its status.

The commercial terms, thresholds, discounts and benefits that may be granted are those applicable at the time of the order and may change under the conditions indicated on the Site.

16.2 - Prices and VAT

The prices and VAT applicable to the Business Customer are determined in accordance with the tax regulations in force and its circumstances.

Where a Business Customer established in another Member State of the European Union provides a valid intra-Community VAT number and the statutory conditions for the exemption are met, VAT shall be treated in accordance with the rules applicable to intra-Community transactions.

The Business Customer is responsible for the accuracy of the tax information it provides.

16.3 - Invoicing

An invoice is issued for orders in accordance with the applicable legal provisions.

The Business Customer must provide the information necessary to issue a compliant invoice and verify its accuracy when placing the order.

16.4 - Late payment

In the event of late payment of an amount due by a Business Customer, late-payment penalties shall be payable automatically from the day following the date on which payment was due.

The rate of late-payment penalties is equal to the interest rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, and may not be lower than the minimum provided for by the applicable regulations.

These penalties are payable without any reminder being required.

16.5 – Fixed compensation for recovery costs

Any late payment by a Professional Customer also automatically makes due a fixed compensation of €40 for recovery costs, in accordance with the provisions of the Commercial Code.

Where the recovery costs actually incurred exceed this fixed compensation, Gingerlily may request additional compensation upon providing supporting evidence, under the conditions provided for by law.

16.6 – Right of withdrawal for professionals

The provisions relating to the right of withdrawal provided for Consumer Customers do not, in principle, apply to contracts concluded for the purposes of a professional activity.

However, a Professional Customer benefits from the protective provisions provided by law where they meet the conditions for their application, in particular in the situations provided for by the Consumer Code.

Any return options that Gingerlily may commercially offer outside a statutory right of withdrawal are subject to the conditions communicated to the Professional Customer.

ARTICLE 17 – LIABILITY

Gingerlily is responsible for the proper performance of its obligations under the conditions provided for by the applicable regulations.

However, Gingerlily shall not be held liable where the non-performance or improper performance of its obligations results from an act attributable to the Customer, an unforeseeable and insurmountable event attributable to a third party to the contract, or a force majeure event within the meaning of the applicable legislation.

The Customer is responsible for choosing the products they order in light of the use they intend to make of them.

The advice, tutorials, creative ideas and examples of use offered on the Site are for informational and creative purposes. The Customer is responsible for ensuring that the products and techniques used are suitable for their project and for the intended use of the jewellery or object created.

Gingerlily shall not be held liable for any deterioration resulting in particular from improper use, unsuitable assembly, inadequate maintenance, normal wear and tear, or failure to comply with any precautions indicated on the product sheet.

Nothing in this article shall have the effect of excluding or limiting the mandatory rights of the Consumer Customer, in particular those arising from statutory guarantees.

ARTICLE 18 – INTELLECTUAL PROPERTY

The Site and the elements comprising it or published on it, including texts, photographs, product photographs, videos, tutorials, illustrations, graphic designs, logos, product sheets, editorial content, databases and visual elements, may be protected by provisions relating to intellectual property.

Unless Gingerlily or the relevant rights holder has given prior written authorization, any reproduction, representation, adaptation, modification, publication or total or partial exploitation of this content for commercial purposes is prohibited.

Purchasing a product from Gingerlily does not entail any transfer of the intellectual property rights attached to the photographs, texts, tutorials, graphic designs or other content presented on the Site.

The rights arising from the exceptions provided for under applicable legislation remain reserved.

ARTICLE 21 - APPLICABLE LAW AND FINAL PROVISIONS

21.1 - Applicable law

21.2 - Amendment of the General Terms and Conditions of Sale

The General Terms and Conditions of Sale applicable to an order are those accepted by the Customer when validating the order.

21.3 - Partial invalidity

If any provision of these General Terms and Conditions of Sale were to be declared null and void, unlawful or unenforceable, the other provisions would remain applicable to the extent that they can subsist independently of the provision concerned.
